Binding Legal Agreement

These Terms and Conditions constitute a legally binding agreement between you (the "Client") and Nimwell (the "Company") regarding the provision of professional cleaning services. By engaging our services or using our website, you acknowledge that you have read, understood, and agree to be bound by these terms in their entirety.

If you do not agree to these Terms and Conditions, you should not engage our services or use our website. These terms apply in addition to any specific service agreement or quotation you receive from us.

Client Obligations and Responsibilities

1. Legal Responsibilities

As a client, you are legally responsible for:

  • Ensuring you have legal authority to grant access to the premises requiring cleaning
  • Complying with all applicable laws and regulations in your jurisdiction
  • Providing accurate and complete information during service booking and delivery
  • Maintaining adequate insurance coverage for your property
  • Ensuring payment obligations are met according to agreed terms
  • Reporting any concerns, damages, or incidents promptly

2. Access and Safety Requirements

You must:

  • Provide safe and unobstructed access to all areas requiring cleaning
  • Disclose any hazardous materials, conditions, or substances present on the premises
  • Ensure adequate lighting, water, and electricity are available
  • Remove or secure any fragile, valuable, or personal items before service
  • Inform us of any pets, alarms, or security systems that may affect service delivery
  • Notify us immediately of any changes to access arrangements

3. Conduct Requirements

You agree to:

  • Treat our staff with respect and courtesy at all times
  • Not engage in any harassment, discrimination, or inappropriate behaviour
  • Provide honest feedback about service quality
  • Communicate any concerns or issues in a professional manner
  • Not interfere with our staff while they perform their duties
  • Respect our business hours and scheduling requirements

4. Prohibited Activities

Clients must not:

  • Request services that violate any laws or regulations
  • Provide false or misleading information about the premises or requirements
  • Attempt to hire our staff directly without proper agreement
  • Use our services for any illegal or improper purpose
  • Cause damage to equipment or materials provided by the Company
  • Engage in any conduct that poses a risk to our staff's health or safety

5. Age and Capacity Restrictions

You confirm that you are at least 18 years of age and have the legal capacity to enter into binding contracts. If you are booking services on behalf of another person or entity, you warrant that you have proper authority to do so and that such person or entity will be bound by these Terms and Conditions.

Liability Limitations and Warranties

6. Disclaimer of Warranties

While we strive to provide high-quality cleaning services, we provide our services on an "as is" and "as available" basis. To the maximum extent permitted by law:

  • We make no warranties, express or implied, regarding service outcomes
  • We do not guarantee that services will meet all your expectations
  • We cannot warrant that cleaning will remove all stains, marks, or substances
  • Results may vary based on property condition, materials, and other factors
  • Some surfaces or materials may be unsuitable for certain cleaning methods

7. Limitation of Liability

To the maximum extent permitted by law, Nimwell's total liability for any claims arising from our services shall not exceed the amount paid by you for the specific service giving rise to the claim. This limitation applies to all causes of action in aggregate, including breach of contract, breach of warranty, negligence, strict liability, and other torts.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, whether arising in contract, tort, or otherwise, even if we have been advised of the possibility of such damages.

8. Exclusions from Liability

We are not liable for:

  • Damage to items that were not properly disclosed or secured by the client
  • Pre-existing damage, wear, or defects that become apparent during cleaning
  • Damage resulting from following client instructions
  • Loss or damage to items left in cleaned areas after service notification
  • Inability to remove certain stains or substances despite reasonable efforts
  • Delays or failures caused by circumstances beyond our reasonable control

9. Consequential Damages Exclusion

Under no circumstances shall we be liable for any indirect, consequential, incidental, special, or exemplary damages arising from or related to our services. This includes, without limitation, loss of business, lost profits, business interruption, loss of data, or any other commercial damages or losses.

10. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including acts of God, natural disasters, war, terrorism, labour disputes, government actions, pandemics, or other force majeure events. In such cases, the affected party will make reasonable efforts to minimise disruption and resume performance as soon as practicable.

11. Insurance Coverage

Nimwell maintains public liability insurance as required by law. However, this insurance does not cover all possible circumstances or damages. Clients are responsible for maintaining their own property insurance and should ensure their coverage is adequate for their needs.

12. Indemnification

You agree to indemnify and hold harmless Nimwell, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms and Conditions, your violation of any law or rights of a third party, or your use of our services in a manner not authorised by these terms.

Legal Information and Dispute Resolution

13. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Jurisdiction

You agree that any legal action or proceeding arising out of or relating to these Terms and Conditions or our services must be brought exclusively in the courts located in England and Wales. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

15. Dispute Resolution Procedures

In the event of a dispute:

  • The parties agree to first attempt to resolve the matter through good faith negotiation
  • Either party may request a meeting to discuss the dispute within 14 days of notice
  • If negotiation fails, the parties may consider mediation before pursuing litigation
  • Nothing in this clause prevents either party from seeking urgent injunctive relief

16. Severability Clause

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these terms. The remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms and Conditions, together with any specific service agreement or quotation, constitute the entire agreement between you and Nimwell regarding our services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.

18. Waiver

No waiver of any provision of these Terms and Conditions shall be deemed or shall constitute a waiver of any other provision, nor shall any waiver constitute a continuing waiver. Our failure to enforce any right or provision shall not be deemed a waiver of such right or provision.

19. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms and Conditions without our prior written consent. We may assign our rights and obligations under these terms at any time without restriction.

20. Terms Modification Policy

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website with an updated "Last updated" date. Your continued use of our services after changes are posted constitutes acceptance of the modified terms. Material changes affecting existing service agreements will be communicated directly to affected clients with reasonable notice.

21. Notice Requirements

All notices required under these Terms and Conditions must be in writing and delivered by email, post, or hand delivery to the addresses provided. Notices are deemed received when delivered by hand, one business day after email transmission with confirmation, or three business days after posting.
